Terms of Service

Red Lake Studio provides web design, development, and related digital services to local businesses. Our services include custom homepage design, full website builds, website rebrands, SEO optimization, and ongoing maintenance and support. The specific scope of work for each project is agreed upon in writing before any work begins.

We offer a free custom homepage demo to prospective clients before any payment is required. The demo is provided as a preview of our work and does not constitute a final deliverable. We reserve the right to decline demo requests at our discretion. The demo remains the property of Red Lake Studio until a service agreement is signed and a deposit is received.

Deposit

A 50% deposit of the total project cost is required before work begins on any paid project. The deposit is non-refundable once design work has commenced.

Final payment

The remaining balance is due upon project completion, before the final website files are delivered or the site is made live. We reserve the right to withhold delivery until payment is received in full.

Late payments

Invoices unpaid after 30 days will accrue a late fee of 1.5% per month (18% per annum), or the maximum rate permitted by applicable law, whichever is less, on the outstanding balance. We reserve the right to suspend or take down any website we host for accounts with outstanding balances. The client shall reimburse us for all reasonable costs of collection, including court costs and reasonable attorneys' fees.

Refunds

Deposits are non-refundable once design work has begun. If a project is cancelled by the client after work has commenced, any work completed up to the point of cancellation will be billed at our standard hourly rate.

Taxes and third-party costs

All fees are exclusive of applicable sales, use, and similar taxes, which are the client's responsibility. Third-party costs (including stock assets, fonts, plugins, domain registration, and hosting fees) are the client's responsibility and may be billed at cost.

Estimated project timelines are provided in good faith but are not guaranteed. Timelines depend on timely client feedback and content delivery. Delays caused by the client, including slow feedback or failure to provide content, may result in extended timelines without any penalty to Red Lake Studio. If the client fails to respond to a request for feedback, approval, or content within 15 business days, we may treat the affected deliverable as accepted and the corresponding milestone as complete. We will communicate any anticipated delays promptly.

Each plan includes a set number of revision rounds as outlined in our pricing. Revisions are defined as reasonable adjustments to the existing design and do not include significant changes to the scope, structure, or direction of the project. Additional revisions beyond the included rounds will be billed at our standard hourly rate.

Client ownership

Conditioned upon, and effective only after, receipt of all amounts due under the applicable service agreement, Red Lake Studio assigns to the client the final website design and custom code created specifically for and delivered as part of the project. Until full payment is received, Red Lake Studio retains all right, title, and interest in all work product.

Provider materials

Red Lake Studio retains all right, title, and interest in its pre-existing materials, tools, frameworks, libraries, templates, source code, know-how, and methodologies, and any generic or reusable components not created uniquely for the client. To the extent any such materials are incorporated into delivered work, the client receives a non-exclusive, non-transferable, royalty-free license to use them solely as part of the delivered website.

Third-party assets

Any third-party assets used in the project (stock photos, fonts, plugins, etc.) remain subject to their respective licenses. We will inform the client of any ongoing licensing requirements for third-party assets.

Portfolio rights

Red Lake Studio reserves the right to display completed work in our portfolio, case studies, and marketing materials unless the client requests otherwise in writing.

The client is responsible for providing accurate content, images, and information for the project in a timely manner, reviewing and approving work within agreed timeframes, ensuring they have the rights to use any content or materials they provide, and maintaining their domain registration and any third-party service accounts after project delivery.

Clients on a Plus maintenance package receive website hosting as part of their monthly plan. For all other clients, hosting is not included by default — upon project completion, the client is responsible for their own hosting, domain renewal, and site maintenance. Hosting setup and configuration is available as a one-time add-on. The specific terms of any Plus package are outlined in a separate agreement.

To the maximum extent permitted by applicable law, Red Lake Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to our services or any website, even if advised of the possibility of such damages. Our total aggregate liability for all claims shall not exceed the total amount actually paid by the client for the specific project giving rise to the claim. Any claim must be commenced within one (1) year after the cause of action accrues, or it shall be permanently barred.

We warrant that our work will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. The client's sole remedy for breach of this warranty is, at our option, re-performance of the deficient services or correction of the deficient work, provided the client notifies us in writing within the 30-day warranty period following project delivery. We do not guarantee specific business outcomes, search engine rankings, or website traffic as a result of our services. Except for the express warranty stated in this section, all services and deliverables are provided "as is" and we disclaim all other warranties, whether express, implied, or statutory.

The client shall defend, indemnify, and hold harmless Red Lake Studio and its members, managers, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) any content, text, images, or materials provided by the client; (b) the client's breach of these terms or violation of any applicable law; (c) any claim that materials supplied by the client infringe the rights of a third party; or (d) the client's use or operation of the website following delivery.

Red Lake Studio shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, internet or hosting provider outages, third-party platform failures, cyberattacks, power failures, governmental action, or pandemics. Affected timelines shall be extended for the duration of the event.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the state and federal courts located in Utah County, Utah. In any action to enforce or interpret these terms, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
